MOU City and County for Fire Emergency Services Consulting FirmMEMORANDUM OF UNDERSTANDING This Memorandum of Understanding is a statement as to the agreed understanding between the City of Sheridan, 55 E. Grinnell Plaza, Sheridan, Wyoming, ("City") and Sheridan County, 224 South Main Street, Sheridan, Wyoming ("County") and is entered into on the date undersigned. WHEREAS, City of Sheridan Fire Department provides emergency and fire related services for the City of Sheridan; WHEREAS, Sheridan County contains six fire districts which provide emergency and fire related services for Sheridan County. Each fire district is an independent entity authorized under Wyoming State Statute. For purposes of this agreement, the County is not representing any fire district but does agree to pay the expenses as required by this agreement on behalf of the fire districts; WHEREAS, The parties desire to work together to retain a consultant to provide a comprehensive analysis of the fire and emergency services provided within the City of Sheridan and Sheridan County; NOW THEREFORE, in consideration of the mutual covenants set forth herein, the parties agree as follows: 1. City and County shall enter into an agreement with a highly qualified consulting firm which specializes in public sector consulting for fire; EMS, and human resource management. 2. The firm retained shall prepare a study and report addressing: (1) Fire/Rescue Overview and Operations; (2) Fire Suppression and Prevention Operations; (3) EMS System Operations; (4) Review and analyze relevant historical information; (5) Review and analyze governing and management processes; (6) Analyze compliance with national, state and local fire and emergency standards; (7) Assess communication and dispatch capabilities and needs; (8) Review staffing methods and effectiveness; (9) Review personnel Management; (10) Assess condition of equipment; (11) Assess training programs; (12) Assess fire prevention and safety education programs; (13) Develop recommendations to improve management, staffing and programs; (14) Recommend long term strategies concerning service and efficiency; (15) Analyze Fiscal and Capital needs. 3. The firm retained to perform the requested services shall be approved by both City and County. 4. The anticipated cost of the aforementioned study and report shall not exceed $29,000.00 without written approval by City and County. City shall contribute $20,000.00 towards the cost of the study and report. County shall contribute $9,000.00 towards the cost of the study and report. a. The City shall be responsible for delivering a payment of $29,000.00 to the firm retained. b. The County shall deliver to the City $9,000.00 as its portion of the contribution. 5. This Agreement represents the entire agreement between the parties hereto with respect to the subject matter hereof and all prior agreements, understandings or negotiations shall be deemed merged herein. No amendments or modifications to this Memorandum of Understanding shall be made or deemed to have been made unless in writing executed by the party or parties to be bound thereby. 6. This Agreement may be executed in counterparts, and shall be fully effective as if all parties executed one original. This Agreement may be executed via facsimile transmission or pdf (e-mail signatures). 7. The parties warrant that their representatives have read this Agreement in its entirety and understand and voluntarily accept its terms. Each party represents to the other that it has authority to enter into this Agreement. The parties further warrant that they each have received whatever independent legal advice they deemed necessary with respect to the advisability of making this Agreement and the other transactions contemplated hereunder. This Agreement shall be construed as being jointly drafted by all parties. IN WITNESS WHEREOF, the parties have duly executed this Memorandum of Understanding this 7th day of May, 2018.
